Terms of Service
Last updated: August 1, 2026By using the website at https://vertix-bot.ru and the Vertix Telegram bot, you agree to these terms of service. Payment terms for paid features and the refund process are covered in two separate documents — the Public Offer and the Refund Policy, linked below.
Age Requirement
The service may only be used by a person who has reached the age required under the laws of their country to enter into this kind of agreement on their own (18 in Russia). By paying for a paid feature, you confirm you meet this requirement.
Service Description
Vertix is a Telegram bot that helps YouTube creators convert long videos into Shorts format. The bot can automatically cut videos, add AI-generated voiceovers, and create subtitles. Users send videos to the bot, which processes them and uploads to the user's YouTube channel.
License to Process Your Video
By sending a video to the bot, you grant Vertix a non-exclusive license to use it strictly to the extent necessary to fulfill your request: cutting, subtitle generation, voiceover synthesis, cropping, and uploading the result to the YouTube channel you specify. This license does not give Vertix any right to use your videos for any other purpose, to share them with third parties beyond what is described in the Privacy Policy, or to retain them after processing is complete.
User Responsibilities
- You must own or have the necessary rights to all videos you send to the bot
- You are responsible for ensuring all uploaded content complies with YouTube's Terms of Service and Community Guidelines
- You must not use the bot to process or upload copyrighted material without proper authorization
- If you believe content uploaded through the service infringes your rights, contact us at support@vertix-bot.ru — we will review the report and restrict the infringing user's access if the claim is confirmed
Stock Footage
When a clip has no footage of its own to match the audio, the service may automatically pull background (b-roll) video from third-party stock providers (for example, Pexels) under their own license terms. Vertix does not own this material and does not warrant that its license covers every use, including commercial publication, monetization, or advertising. Before publishing a video that includes such material, check the stock provider's license terms yourself.
Automatically Generated Content
AI-generated voiceovers, subtitles, titles and descriptions are produced automatically and may contain inaccuracies, speech-recognition errors, or factual mistakes, including in names, dates and numbers. You must review the result yourself before publishing it; Vertix does not guarantee the accuracy of automatically generated content.
Service Provided "As Is"
The service is provided "as is" and "as available," without warranties of any kind, express or implied, including fitness for a particular purpose. Vertix does not guarantee that using the service will grow your views, subscribers, monetization revenue, or produce any other specific outcome — those depend on YouTube's own algorithms and decisions, which Vertix does not control.
Paying for Paid Features
Some features (AI voiceover, smart cropping, SEO titles and other premium features) unlock with a one-time Shorts pack purchase — via Telegram Stars or by bank card through YooKassa (in Russian rubles, with an emailed receipt — the Provider, as a self-employed taxpayer, is required to issue a receipt for every payment). Current prices are shown on the payment screen in the bot and in the pricing section of the site. The full terms of paid services, the moment a service is considered rendered, and the refund process are described in two separate documents: the Public Offer for Paid Services and the Refund Policy.
Limitations
Vertix shall not be held liable for any content uploaded through the service — users are solely responsible for the content they choose to upload and publish. Vertix is also not responsible for the actions of third-party platforms the service depends on, including that:
- YouTube may reject, limit the reach of, demonetize, or remove an uploaded video, or suspend a channel — that is YouTube's decision, not Vertix's
- Google may change YouTube API terms, quotas, or availability at any time
- Telegram may be temporarily unavailable, restrict bot functionality in a given region, or change how Stars payments are accepted
- the service may be temporarily unavailable due to maintenance or infrastructure failures
Limitation of Liability
To the extent permitted by the law of the Russian Federation, Vertix's total liability to the user for any claim related to using the service is limited to the amount the user actually paid for the specific paid feature in question over the preceding 12 months. Vertix is not liable for indirect damages, lost profit, lost monetization revenue, reputational harm, or other consequential losses. This limitation does not apply where the law expressly prohibits it — in particular, for liability arising from willful misconduct or harm to life or health.
Indemnification
If your use of the service — including a video you upload, text generated at your request, or your violation of these terms — results in claims, fines, or lawsuits against Vertix by third parties, you agree to reimburse Vertix for the resulting documented losses, including reasonable legal defense costs.
Force Majeure
Vertix is not liable for failure to perform its obligations if caused by force majeure: data center or network provider outages, DDoS attacks, actions or restrictions imposed by Google, YouTube or Telegram, and other events beyond Vertix's reasonable control.
Intellectual Property
The Vertix software, design, name and trademarks are the intellectual property of the service. This does not affect your rights to your own videos and the content you create — they remain yours, subject to the processing license described above.
Service Availability
We strive to maintain 24/7 service availability but do not guarantee uninterrupted access. We reserve the right to modify or discontinue the service, and to restrict a user's access if they violate these terms.
Account Termination
You may revoke access to your YouTube account at any time through your Google Account settings and stop using the bot at any time. We may also terminate or restrict your access to the service if you violate these terms.
Dispute Resolution
Before going to court, we ask that you first write to us at support@vertix-bot.ru describing the issue — this resolves most situations. This does not limit your right to go directly to court at any time, if you prefer.
Governing Law
The service operates in the Russian Federation and accepts payments from users in Russia. These terms are governed by and construed in accordance with the laws of the Russian Federation, including the Russian Law on Protection of Consumer Rights where applicable to relations with consumer users.
Changes to Terms
We reserve the right to modify these terms at any time; the date of the last change is shown at the top of the page. Continued use of the service after changes constitutes acceptance of the new terms.
